WiCommunity Welcomes You! 


WiCommunity builds technologies and services that enable people to connect with each other, build communities and grow businesses. These Terms and Conditions of use ("Terms") govern your use of WiCommunity and the other products, features, apps, services, technologies and software that we offer, except where we expressly state that separate terms (and not these) apply. These Products are provided to you by WiCommunity and its proprietor (Wi Ecosys), referred to as "WiCommunity" or "we" or “us” or “our”. You can accept these Terms by: (1) clicking to accept or agree to the Terms where this option is made available to you by WiCommunity for any Service; or (2) actually using the Services. Please read the Terms carefully -- if you do not agree to these Terms, do not access or use the Services. If you use our Services on behalf of an organization, you agree to these Terms on behalf of your organization and represent that you have the authority to do so.

We don't charge you to use WiCommunity or the other products and services covered by these Terms. Instead, businesses and organisations pay us to show you ads for their products and services. By using our Products, you agree that we can show you ads that we think will be relevant to you and your interests. We use your personal data to help determine which ads to show you. 

We don't sell your personal data to advertisers, and we don't share information that directly identifies you (such as your name, email address or other contact information) with advertisers unless you give us specific permission. Instead, advertisers can tell us things such as the kind of audience that they want to see their ads, and we show those ads to people who may be interested. We provide advertisers with reports about the performance of their ads that help them understand how people are interacting with their content.  

Our Privacy Policy explains how we collect and use your personal data to determine some of the ads that you see and provide all of the other services described below. You can also go to your account settings at any time to review the privacy choices you have about how we use your data.

Some of our Services may require additional terms or product requirements (e.g. age requirements). We will make additional terms available with the relevant Services, and those additional terms will become part of your agreement with us if you use those Services.

We may modify these Terms at any time and in our sole discretion. WiCommunity will provide notice of changes to the Terms by displaying notices or links to notices through the Services (for example, on this page). Your continued use of the Services will confirm your acceptance of the revised Terms. If you do not agree to the modified Terms, you should discontinue your use of the Services. Please look at the Terms regularly. In these Terms, the the words “including” and “include” mean “including, but not limited to.”

Note that these Terms contain a mandatory arbitration provision that requires the use of arbitration on an individual basis and limits the remedies available to you in the event of certain disputes. Please review the arbitration agreement carefully. By accepting these Terms, you expressly acknowledge that you have read and understand the arbitration agreement.

 

 

1. ARBITRATION

 

PLEASE READ THE FOLLOWING SECTION CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES AND CLAIMS WITH WICOMMUNITY AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.



Binding Arbitration

Except for any disputes, claims, suits, actions, causes of action, demands or proceedings (collectively, “Disputes”) in which either party seeks to bring an individual action in small claims court or seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, including, without limitation, copyrights, trademarks, trade names, logos, trade secrets or patents, you and WiCommunity agree: (a) to waive your and WiCommunity's respective rights to have any and all Disputes arising from or related to these Terms, the Services, or the Content resolved in a court; and (b) to waive your and WiCommunity's respective rights to a jury trial. Instead, you and WiCommunity agree to arbitrate Disputes through binding arbitration (which is the referral of a Dispute to one or more persons charged with reviewing the Dispute and making a final and binding determination to resolve it instead of having the Dispute decided by a judge or jury in court).

No Class Arbitrations, Class Actions or Representative Actions


You and WiCommunity agree that any Dispute arising out of or related to these Terms, the Services, or the Content is personal to you and WiCommunity and that such Dispute will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action or any other type of representative proceeding. You and WiCommunity agree that there will be no class arbitration or arbitration in which an individual attempts to resolve a Dispute as a representative of another individual or group of individuals. Further, you and WiCommunity agree that a Dispute cannot be brought as a class or other type of representative action, whether within or outside of arbitration, or on behalf of any other individual or group of individuals.

Notice: Informal Dispute Resolution

You and WiCommunity agree that each party will notify the other party in writing of any arbitrable or small claims Dispute within 30 days of the date it arises, so that the parties can attempt in good faith to resolve the Dispute informally. Notice to WiCommunity shall be sent wicommunity.cs@wi.community. Your notice must include: (a) your name, postal address, telephone number, the email address you use or used for your WiCommunity registration and, if different, an email address at which you can be contacted; (b) a description in reasonable detail of the nature or basis of the Dispute; and (c) the specific relief that you are seeking. Our notice to you will be sent electronically in accordance with these Terms and will include: (x) our name, postal address, telephone number and an email address at which we can be contacted with respect to the Dispute; (y) a description in reasonable detail of the nature or basis of the Dispute; and (z) the specific relief that we are seeking. If you and WiCommunity cannot agree how to resolve the Dispute within 30 days after the date notice is received by the applicable party, then either you or WiCommunity may, as appropriate and in accordance with this arbitration agreement, commence an arbitration proceeding or, to the extent specifically provided for above, file a claim in court.

Process


Except for Disputes in which either party seeks to bring an individual action in small claims court or seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, including, without limitation, copyrights, trademarks, trade names, logos, trade secrets or patents, you and WiCommunity agree that any Dispute must be commenced or filed by you or WiCommunity within one (1) year of the date the Dispute arose, otherwise the underlying claim is permanently barred (which means that you and WiCommunity will no longer have the right to assert such claim regarding the Dispute). You and WiCommunity agree that: (a) any arbitration will occur in Singapore; (b) arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of the Singapore Internatonal Arbitration Centre (“SIAC”); and (c) that the courts of the Republic of Singapore, respectively, sitting in Singapore, have exclusive jurisdiction over any appeals and the enforcement of an arbitration award. 

Authority of Arbitrator


As limited by the SIAC, these Terms and the applicable SIAC rules, the arbitrator will have: (a) the exclusive authority and jurisdiction to make all procedural and substantive decisions regarding a Dispute, including the determination of whether a Dispute is arbitrable; and (b) the authority to grant any remedy that would otherwise be available in court; provided, however, that the arbitrator does not have the authority to conduct a class arbitration or a representative action, which is prohibited by these Terms. The arbitrator may only conduct an individual arbitration and may not consolidate more than one individual's claims, preside over any type of class or representative proceeding or preside over any proceeding involving more than one individual.

Rules of SIAC


The Arbitration Rules and Procedures ("Rules") of SIAC and additional information about SIAC are available on the SIAC website. By agreeing to be bound by these Terms, you either: (a) acknowledge and agree that you have read and understand the Rules of SIAC; or (b) waive your opportunity to read the Rules of SIAC and any claim that the Rules of SIAC are unfair or should not apply for any reason.

Severability


If any term, clause or provision of this arbitration agreement is held invalid or unenforceable, it will be so held to the minimum extent required by law, and all other terms, clauses and provisions of this arbitration agreement will remain valid and enforceable. Further, the waivers set forth in this arbitration agreement are severable from the other provisions of these Terms and will remain valid and enforceable, except as prohibited by applicable law.

Opt-Out Right


You have the right to opt out of binding arbitration within thirty (30) days of the date you first accepted the terms of this Dispute Resolution section by writing to: wicommunity.cs@wi.community. In order to be effective, the opt-out notice must include your full name and clearly indicate your intent to opt out of binding arbitration. By opting out of binding arbitration, you are agreeing to resolve Disputes in accordance with the provisions regarding governing law and venue below.

 

 

2. SERVICES WE PROVIDE


Our mission is to give people the power to build community and bring the world closer together. To help advance this mission, we provide the products and services described below to you: 

 

Provide a personalised experience for you: 

Your experience on WiCommunity is unlike anyone else's: from the posts, stories, events, ads and other content that you see in News Feed or our video platform to the Pages that you follow and other features that you might use, such as Trending, Marketplace and search. We use the data that we have – for example, about the connections you make, the choices and settings you select, and what you share and do on and off our Products – to personalise your experience. 

Connect you with people and organisations that you care about: 

We help you find and connect with people, groups, businesses, organisations and others that matter to you across the WiCommunity Products that you use. We use the data that we have to make suggestions for you and others – for example, groups to join, events to attend, Pages to follow or send a message to, shows to watch and people who you may want to become friends with. Stronger ties make for better communities, and we believe that our services are most useful when people are connected to people, groups and organisations that they care about. 

Empower you to express yourself and communicate about what matters to you: 

There are many ways to express yourself on WiCommunity and to communicate with friends, family and others about what matters to you – for example, sharing status updates, photos, videos and stories across the WiCommunity Products that you use, sending messages to a friend or several people, creating events or groups, or adding content to your profile. We have also developed, and continue to explore, new ways for people to use technology to create and share more expressive and engaging content on WiCommunity. 

Help you discover content, products and services that may interest you: 

We show you ads, offers and other sponsored content to help you discover content, products and services that are offered by the many businesses and organisations that use WiCommunity and other WiCommunity Products. 

Combat harmful conduct, and protect and support our community: 

People will only build community on WiCommunity if they feel safe. We employ dedicated teams around the world and develop advanced technical systems to detect misuse of our Products, harmful conduct towards others and situations where we may be able to help support or protect our community. If we learn of content or conduct like this, we will take appropriate action – for example, offering help, removing content, removing or restricting access to certain features, disabling an account or contacting law enforcement.  

Use and develop advanced technologies to provide safe and functional services for everyone: 

We use and develop advanced technologies such as artificial intelligence, machine learning systems and augmented reality so that people can use our Products safely regardless of physical ability or geographic location. For example, technology such as to improve our ability to detect and remove abusive and dangerous activity that may harm our community and the integrity of our Products. 

Research ways to make our services better: 

We engage in research to develop, test and improve our Products. This includes analysing the data we have about our users and understanding how people use our Products, for example by conducting surveys and testing and troubleshooting new features. Our Data Policy explains how we use data to support this research for the purposes of developing and improving our services. 

Provide consistent and seamless experiences across the WiEcosystem: 

Our Products help you find and connect with people, groups, businesses, organisations and others that are important to you. We design our systems so that your experience is consistent and seamless across the different products on WiEcosystem that you use. For example, we use data about the people you engage with on WiCommunity to make it easier for you to connect with them on WiTalk, and we enable you to communicate with businesses that you follow on WiCommunity through WiTalk. 

Enable global access to our services: 

To operate our global service, we need to store and distribute content and data in our data centres and systems around the world, including outside your country of residence. This infrastructure may be operated or controlled by WiCommunity's proprietory - Wi Ecosys Pte Ltd or its affiliates.

 

 

3. USING OUR SERVICES


When you use our Services, you may provide content to us or third parties may submit content to you through the Services (“Content”). The Content you provide or submit to us is owned by you. These Terms do not give us any rights to your Content except for the limited rights set forth in these Terms.



Prior to using our Services, you acknowledge and agree that:

  • WiToken, is a dynamic digital currency, and there may be risk of loss when trading, holding, and transacting with WiToken. WiCommunity is not an exchange that provides services for trading, holding, or investing WiToken.

  • WiCommunity has no control over, or any liability for, any Content that you may buy from, or sell to, third parties via peer-to-peer transactions. If you encounter an issue with a WiToken transaction for goods and services with a third party, please notify WiCommunity at wicommunity.cs@wi.community, including if you suspect a third party has behaved in violation of these Terms.

  • WiCommunity is not responsible for any loss of your digital currency due to mishandling, theft, or any other factor outside of WiCommunity's direct control.


You may only use our Services as permitted by law, including all applicable export and re-export control laws and regulations, including, without limitation, your local jurisdiction's regulations.

You are responsible for all uses of [off-chain buffer][buffer] you may receive from WiCommunity through the Services. You are responsible for any taxes due with respect to your use of the Services and any payments we make to you. We do not intend to create a partnership with you for any tax or other purpose.

Unless otherwise indicated, the Services are the property of WiCommunity and using the Services does not grant you ownership of any intellectual property rights in our Services. These Terms do not grant you any right, title or interest in the Services, others' content in the Services, or WiCommunity branding or logos used in our Services. Please do not remove, obscure, or alter any legal notices displayed in or along with our Services. We love hearing feedback, but do note that we may use any feedback to improve our Services without any additional obligation to you. 

 

 

4. WICOMMUNITY SERVICES AND OFF-CHAIN BUFFER


In addition, our Services may enable you to redeem or earn off-chain buffer to obtain Content or as payment for completing a Task via WiCommunity (as those terms are hereinafter defined). When you redeem or earn off-chain buffer via the Services, this is not a peer-to-peer transaction and you are transacting solely with WiCommunity. All redemptions of off-chain buffer are not cancellable and not refundable, except as set forth: (1) in these Terms; (2) our official WiCommunity refund policy made available with the applicable WiCommunity Service; or (3) as required by law. Off-chain buffer does not constitute a personal property right and has no monetary value.

 

 

5. WIECOSYSTEM ACCOUNT & REGISTRATION


WiCommunity is a part of an ecosystem of services known as the WiEcosystem. You may need a WiEcosystem account to use some of our Services in the WiEcosystem such as WiCommunity. A WiEcosystem account allows you to access all platforms or services connected to the WiEcosystem, By creating an account, you agree to: (1) provide accurate, complete, and current information; and (2) protect your account by keeping your password confidential. You agree that you will not create more than one WiEcosystem account to access the Services. You are responsible for the activity that happens on or through your WiEcosystem account. If you learn of any unauthorized access to your account, contact wicommunity.cs@wi.community.

If you create a WiEcosystem account, we may display your name, photo, and public actions you take in our Services (such as comments you post to the WiCommunity). We will respect the choices you make to limit sharing or visibility settings in your WiEcosystem account or in your WiCommunity settings where these choices are made available to you. Please note that your public profile is by definition "public", and any profile information you choose to display there will be publicly available.

 

 

6. THIRD PARTY CONTENT


By using the Services, you may access Content that is owned by third parties. WiCommunity has no responsibility or liability for your access or use of third-party Content that is made available to you through the Services, including whether you acquire the Content through a peer-to-peer transaction with a third party, Content is made available to you via WiCommunity, or by redeeming off-chain buffer with us. While we are not obligated to review Content, we may remove or refuse to provide access to Content that we reasonably believe violates our policies or the law. The Services and Content may not be available in all jurisdictions, and we may restrict use of all or a portion of the Services and Content in certain jurisdictions.

 

 

7. CLIENT SOFTWARE IN OUR SERVICES


Some of our Services may allow you to download client software ("Client Software"), including the Client Software that enables you to buy and sell Content via WiCommunity. For these local clients, you agree that we may download and install updates to the Client Software automatically onto your device once a new version or feature is available. Some Services may let you adjust your automatic update setting. The Client Software is licensed and not sold to you by WiCommunity. Subject to these Terms, we give you a limited, nonexclusive, nontransferable, revocable license to use the Client Software provided to you by WiCommunity to access the Services. If any component of the Client Software is offered under an open source license, the provisions of that license may expressly override some of these Terms. You may not copy, modify, create derivative works from, distribute, sublicense, reverse engineer, decompile, sell, make available over any network or lease any part of our Services or the included Client Software, unless the foregoing restrictions are prohibited by law.

 

 

8. PRE-RELEASE SERVICES


From time-to-time, we may provide you access to beta or other pre-release versions of our Services. We will designate when a Service is in beta or pre-release by including the designation “BETA”, or a similar designation, in or near the product description. When a Service is in beta or pre-release, the Service is still in development and is not ready for general commercial release. Such Service may contain bugs, errors and defects, and you should not expect the Service to perform in the same way as a fully launched, commercial service. You acknowledge that we do not guarantee the full commercial introduction of any beta or pre-release Service.

 

 

9. YOUR RESPONSIBILITIES


You are responsible for your conduct. We may review your use and access of the Services for compliance with these Terms, though we have no obligation to do so. WiCommunity is not responsible for your use of the Services.

We may temporarily or permanently remove content, disable accounts and work with law enforcement when we believe that there is a genuine risk of physical harm or direct threats to public safety. We also try to consider the language and context in order to distinguish casual statements from content that constitutes a credible threat to public or personal safety. In determining whether a threat is credible, we may also consider additional information such as a person's public visibility and vulnerability.

  • YOU MAY NOT ENGAGE IN ABUSIVE OR HARASSING BEHAVIOR, including, but not limited to:

    • Attacking, bullying, or threatening others;

    • Defrauding, or attempting to defraud, WiCommunity or its users;

    • Distributing viruses, worms, hoaxes, corrupted files, or other harmful technologies;

    • Engaging in practices that are harmful to WiCommunity's users;

    • Facilitating, inciting, promoting or publicising, the abuse or harassment of others;

    • Facilitating, inciting, promoting or publicising  organised hate;

    • Spamming others;

    • Violating or encouraging violation of the legal rights of others (e.g. WiCommunity reserves the right to reclaim usernames of businesses or individuals that hold the legal rights to those usernames);

    • Interfering with the use of the Services by others (e.g. by taking any action that imposes an unreasonably large load on WiCommunity's support volume or infrastructure)

  • YOU MAY NOT ENGAGE IN ACCOUNT ABUSE, including, but not limited to:

    • Creating fake accounts;

    • Creating multiple accounts to evade suspension of an account;

    • Impersonating others in an attempt to deceive WiCommunity or WiCommunity's users;

    • Making false statements to WiCommunity's customer support;

    • Using an account to abuse WiCommunity's Services or circumvent WiCommunity's security features (e.g. by taking any action that imposes an unreasonably large load on WiCommunity's support volume or infrastructure);

  • YOU MAY NOT ENGAGE IN UNLAWFUL BEHAVIOR, including, but not limited to:

    • Breaching or circumventing any applicable laws;

    • Collecting information about users without their consent;

    • Exporting any WiCommunity Service except in compliance with applicable export control laws;

    • Reproducing, performing, displaying, distributing, reverse engineering or preparing derivative works from any Content that does not belong to you without prior written permission from the party that has the legal right to license such use;

    • Using the Services to facilitate, incite, promote or publicise political or social unrest;

    • Using the Services to facilitate, incite, promote or publicise any false or misleading information or news;

    • Using the Services to facilitate, incite, promote or publicise terrorist activity(s);

    • Using the Services to facilitate, incite, promote or publicise human trafficking;

    • Using the Services to facilitate, incite, promote or publicise organised violence or criminal activity(s);

    • Using the Services to facilitate, incite, promote or publicise activity(s) that is intended or likely to cause harm to people, businesses or animals;

    • Using the Services to facilitate online gambling;

    • Using the Services to facilitate online prostitution;

    • Using the Services for any invasive, infringing, defamatory or fraudulent purpose;

    • Violating or encouraging violation of the legal rights of others (e.g. WiCommunity reserves the right to reclaim usernames of businesses or individuals that hold the legal rights to those usernames);

 

 

10. PRIVACY


Your privacy is very important to us. WiCommunity's privacy policies at wi.community/help/privacy explain how we collect, use, and disclose information about you, including information we may collect from any device that includes our Software.

 

 

11. COPYRIGHT PROTECTION


We respond to notice of alleged copyright infringement accordingly. Such notices should be sent to wicommunity.cs@wi.community. We reserve the right to delete content alleged to be infringing and terminate accounts of infringers.

 

 

12. INDEMNIFICATION


You agree to indemnify, defend, and hold harmless WiCommunity and its affiliates, officers, agents and employees from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to: (1) your use of or inability to use the Services (including off-chain buffer or the WiCommunity Marketplace) or Content; (2) any Content you provide or offer to provide; (3) any peer-to-peer transaction you have with other users; or (4) your violation of these Terms. Although we provide an Acceptable Use Policy for using our Services, we cannot control and take no responsibility for users' actions and Content.

 

 

13. WARRANTIES AND DISCLAIMERS


We have put in a great deal of effort to deliver you Services that we hope you find valuable, but there are certain things we can't promise about them.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR ACCESS TO AND USE OF THE SERVICES AND ANY CONTENT IS AT YOUR SOLE RISK. OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS, NEITHER WICOMMUNITY NOR ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS (“WICOMMUNITY PARTIES”) MAKE ANY WARRANTY, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES OR CONTENT. THE SERVICES AND CONTENT ARE PROVIDED “AS IS.” WICOMMUNITY DOES NOT WARRANT THAT: (1) THE OPERATION OF THE SERVICES OR CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE; (2) THE FUNCTIONS CONTAINED IN THE SERVICES OR CONTENT WILL BE ACCURATE OR MEET YOUR REQUIREMENTS; OR (3) ANY DEFECTS IN THE SERVICES OR CONTENT WILL BE CORRECTED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO SOME DISCLAIMERS IN THIS SECTION MAY NOT APPLY TO YOU.

 

 

14. LIMITATION OF LIABILITY


TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE WICOMMUNITY PARTIES BE RESPONSIBLE TO YOU FOR ANY: (1) LOSS OF USE, DATA, BUSINESS OR PROFITS; (2) FINANCIAL LOSSES; OR (3) INDIRECT, SPECIAL CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS WILL BE WHETHER OR NOT THE WICOMMUNITY PARTIES HAVE BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF WICOMMUNITY PARTIES ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES (INCLUDING OFF-CHAIN BUFFER AND THE WICOMMUNITY MARKETPLACE) OR CONTENT EXCEED THE AMOUNT YOU PAID TO US IN A CENTRALLY CONTROLLED GOVERNMENT-ISSUED CURRENCY TO USE OUR SERVICES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, OR FOR DEATH OR PERSONAL INJURY CAUSED BY GROSS NEGLIGENCE.

 

 

15. GOVERNING LAW AND VENUE


These Terms and your access to and use of the Services will be governed by the laws of the Republic of Singapore, without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. Any Dispute between the parties that is not subject to arbitration or cannot be heard in small claims court shall be resolved in the courts of the Republic of Singapore.

 

 

16. MODIFICATIONS / TERMINATION TO SERVICES


You can stop using our Services at any time (though we hope you don't!). Our Services are constantly being updated, and you should revisit these Terms regularly. We reserve the right to suspend or terminate users, reclaim WiCommunity (WiEcosystem) account usernames without any liability to you, or change, suspend, discontinue or disable access to the Services at any time and without notice at our sole discretion. We also reserve the right to terminate your access and use of the Services if you violate these Terms or any policies referenced herein, or if you use the Services in a way that we reasonably believe creates legal liability for us.

 

 

17. OTHER TERMS


If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect. WiCommunity's failure to enforce a provision of these Terms will not be considered a waiver. You may not assign any of your rights under these Terms to anyone else, and any such attempt will be void. All of our rights under these Terms are freely assignable by us in connection with a merger, acquisitions, or sale of assets, or by operation of law or otherwise. These Terms control the relationship between yourself and WiCommunity. They do not create any third party beneficiary rights. We reserve all rights not expressly granted to you.
